BY-LAWS OF BREW BAYOU
Established October 1993 under the direction of founding officers:
Mark DeWeese, President; Norman Farrell, Vice-President; Michael Niemann,
Treasurer; and Joe Dibbern, Newsletter Editor.

Article I: Name
Section 1. The name of this club shall be Brew Bayou .
Section 2. The club is a "not-for-profit" organization.
Section 3. No member of this organization shall use the name of the club or
any emblems, slogans, or other marks of the club to exploit
personal views or gains.
Section 4. The name or emblem of the club can not be used for commercial
purposes.
Article II: Purpose and Goals
Section 1. Purpose
Item 1. To enjoy and promote the hobby of home brewing.
Section 2. Goals
Item 2. To engage in enjoyable social activities focused on homebrewing
as a common foundation.
Item 3. To learn more about beer, beer tasting, beer judging and brewing
techniques based on sharing experience and knowledge.
Item 4. To promote the hobby and enjoyment of homebrewing.
Item 5. To promote the responsible use of alcoholic beverages.
Article III: Membership
Section 1. The club shall have two classifications of membership, regular
and honorary. Membership is open to any individual 21 years old or
older.
Section 2. An individual may become a club member upon payment of dues as
designated in these by-laws and by furnishing a signed membership
form to the club. Members "in good standing" shall conform to the
club by-laws and act in the spirit of all items in the club Purposes
and Goals above.
Section 3. Regular members are persons as defined in Article III Section 1
and 2.
Section 4. Honorary memberships may be awarded by the officers to
organizations or companies in exchange for services or other
benefits to the club or its members. Honorary members shall not
have voting rights and are not eligible to become officers.
Article IV: Dues
Section 1. Membership dues will be determined annually by the club officers.
Article V: Meetings
Section 1. The club will meet regularly, once per month. Members present
shall constitute a quorum for the transaction of business.
The September regular membership meeting shall be called the Annual Meeting.
Section 2. Special meetings may be called by the club officers. All
members in good standing may attend special meetings.
Article VI: Officers
Section 1. The officers of the club shall be: President, Vice-President,
Treasurer, and Newsletter Editor. These officers shall perform the
duties prescribed by these by-laws.
Section 2. Election of officers shall be held at the Annual Meeting.
Election shall be by voice vote from a slate of candidates chosen
either by a nominating committee or by nominations in open meeting,
provided the nominee is willing to serve. A majority vote by
attending members shall elect in any case.
Section 3. Newly elected officers shall take office on the first day of
the month following the Annual Meeting and serve for a period of 1
year or until their successors are elected.
Section 4. A nominating committee comprised of three members in good
standing shall name at least one willing officer candidate for each
club office. Officers shall be elected by members present at the
Annual Meeting.
Section 5, Other ommittee chairmen may be appointed by the President
with approval of the membership.
Section 6. Officers or members of the Board of Directors may be removed by
a two thirds vote of members in good standing present at a properly
called meeting of the membership. Notice of an impending vote to
remove officers shall be published in the club newsletter or be sent
to each member two weeks before the called meeting.
Section 7. Vacancies in office shall be filled by appointment of the Board
of Directors until an election shall fill the office.
Article VII: Duties of the Officers
Section 1. President
The president shall preside over meetings of the membership and the
Board of Directors, and supervise all club affairs. The President shall
also be responsible for the program at regular club meetings, for sending
and receiving club correspondence, and maintaining the official club archives.
Section 2. Vice-President
The Vice-President at the request of the president or in the President's
absence shall perform the duties of the President and preside at all
meetings at which the President would normally preside.
Section 4. Treasurer
The Treasurer shall keep a record of all income receipts and
expenditures and pay approved bills (see Appendix A: Money Matters below).
The Treasurer shall report the club's financial standing at each regular
meeting and prepare a yearly summary of transactions.
Section 4. Newsletter Editor
The Newsletter Editor shall compile, edit, and print the club
newsletter. The Newsletter Editor is not responsible for providing articles
or writing copy for the club newsletter.
Article VIII: Board of Directors
Section 1. The Board of Directors shall be composed of the officers of the
club, and the previous years President if different from this years
President.
Section 2. The Board of Directors shall have general supervision of the
affairs of the club between its business meetings, make
recommendations to the club and shall perform such other duties as
are specified by these by-laws.
Article IX: Committees
Article X: Nominating Committee
Section 1. Two months prior to the Annual Meeting, the President shall
appoint a committee to nominate the herein designated club officers.
Section 2. Names of the officers will be published in the newsletter
prior to the annual meeting.
Section 3. The committee may only nominate willing candidates and must
contact each nominee in order to ascertain their willingness.
Candidates must be members in good standing as defined in the
by-laws.
Article XI: Affiliations
Section 1. The club is registered with the American Homebrewers
Association,
Article XII: Expulsion
Section 1. The Board of Directors of the club shall have the power to
relieve any volunteer or chair of their duties by a majority vote
of the Board of Directors.
Section 2. The Board of Directors by unanimous vote shall have the power
to expel any member for conduct detrimental to the interests of the
club, its officers and its members.
Article XIII: Amendment of By-Laws
Section 1. These by-laws may be amended at any regular membership meeting of
Brew Bayou by a two-thirds vote of members present provided the
amendment has been submitted in writing at the previous regular
meeting or has been published in the newsletter at least one week
before the time of voting
Article XIV: Non-Discrimination
Section 1. The club membership is open to all adult individuals regardless
of race, creed, gender, or religious conviction.
Article XV: Club Regalia
Section 1. The club emblem is displayed on our letterhead, newsletter, the
first page of the by-laws, and any logo product approved by
the club leadership.
Appendix A: Money Matters
Section 1. Bills may be approved for payment by the Board of Directors or
by any two officers of the club provided one officer is the club
President.
Section 2. Cash expenditures: single expenses not associated with normal
monthly operation of the club are to be submitted for approval with
a written justification, which must be retained by the Treasurer.
